Terms of Service

Welcome to Sail Out. These Terms of Service ("Terms") govern your access to and use of the Sail Out website and related services at sailout.app (the "Service"), operated by the Sail Out founding team ("Sail Out," "we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.

1. The Service

Sail Out is a web-based planning platform that helps families and students organize the transition to college: a guided milestone journey, task checklists, a readiness score, budgeting and dorm-shopping planners, and shared family workspaces.

The Service is for informational and organizational purposes only. It does not provide legal, financial, tax, investment, educational, admissions, medical, or psychological advice. Scores, timelines, estimates, and suggested tasks are general organizational aids — always verify important deadlines, amounts, and requirements with your college and your own advisors before relying on them.

2. Eligibility

You may use the Service only if you are at least 13 years old. If you are under 18, you may use the Service only with the consent and involvement of a parent or legal guardian who agrees to these Terms on your behalf. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and current.

3. Your account

Sign-in is provided through Google via our authentication provider. You are responsible for maintaining the security of your Google account, for all activity that occurs under your Sail Out account, and for promptly notifying us at hello@sailout.app of any unauthorized use or suspected breach.

4. Fees

The Service is currently offered free of charge. We may introduce paid features in the future; if we do, pricing will be clearly displayed and no charges will ever apply to you without your explicit opt-in.

5. Early-access service

Sail Out is an early-stage product. Features may be added, changed, suspended, or discontinued at any time, and we cannot guarantee uninterrupted availability or that stored information will never be lost. Please keep your own independent record of critical information — deadlines, confirmation numbers, payment records, and amounts — rather than relying on the Service as your only copy.

6. License to use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. No ownership rights are transferred to you, and all rights not expressly granted are reserved.

7. Acceptable use

You agree not to:

  • Violate applicable laws or regulations
  • Access or attempt to access another family's workspace or any account other than your own
  • Probe, interfere with, or circumvent the security of the Service
  • Upload malicious code or content that infringes the rights of others
  • Use bots, scrapers, or other automated tools to access or extract data from the Service
  • Reverse engineer, decompile, or disassemble the Service, except where such restriction is prohibited by law
  • Copy, resell, sublicense, or commercially exploit the Service
  • Impersonate another person, or misrepresent your identity or role when requesting to join a family workspace

8. Your content

You retain ownership of the information you enter into the Service — tasks, notes, budget figures, shopping lists, names, and other content ("Your Content"). You grant Sail Out a limited, worldwide, royalty-free, non-exclusive license to host, store, process, back up, display, and transmit Your Content solely as needed to provide, secure, maintain, and improve the Service. You represent that you have the right to submit whatever you enter into the Service.

9. Family workspaces

The Service lets you share a workspace with family members through an invite that the workspace owner approves. Members of a shared workspace can see the content within it. You are responsible for the information you choose to share into a workspace and for whom you invite or approve. You can leave a shared workspace at any time from Settings. Sail Out is not responsible for disputes between workspace members or for how members use information shared with them.

10. Feedback

If you submit suggestions, survey answers, or other feedback about the Service, we may use them to improve the Service without restriction or obligation to you.

11. Third-party services

The Service depends on third-party providers, including Google (sign-in), Clerk (authentication), Neon (database), and Vercel (hosting and analytics). Their services are governed by their own terms and privacy policies, and we are not responsible for their acts or omissions.

The Service may also contain links to third-party retailers — for example, clearly marked "Find on Amazon" links on the shopping list, some of which are affiliate links that pay Sail Out a commission at no extra cost to you. Any purchase you make on a third-party site is a transaction between you and that retailer, governed by the retailer's terms: Sail Out is not a party to it, does not endorse specific products, and is not responsible for the products, prices, availability, or fulfillment involved.

12. Intellectual property

The Service — including its software, design, graphics, logos, workflows, text, and all related intellectual property — is and remains the exclusive property of Sail Out and its licensors. "Sail Out" and "College Confidence Score" are trademarks of Sail Out. Nothing in these Terms grants you any right to use them without our prior written consent.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SAIL OUT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT TIMELINES, SCORES, ESTIMATES, OR SUGGESTED TASKS ARE ACCURATE, COMPLETE, OR SUITED TO YOUR CIRCUMSTANCES.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SAIL OUT AND ITS FOUNDERS, CONTRACTORS, AFFILIATES, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR MISSED DEADLINES — ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SAIL OUT IN THE TWELVE MONTHS PRECEDING THE CLAIM AND (B) FIFTY U.S. DOLLARS (US $50). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Sail Out and its founders, contractors, and affiliates from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your violation of these Terms, applicable law, or the rights of a third party.

16. Suspension and termination

We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, endangered the security of the Service, or engaged in fraudulent or unlawful activity. You may stop using the Service, leave a shared workspace, or request deletion of your account at any time (see the Privacy Policy). Sections of these Terms that by their nature should survive termination — including Sections 8, 10, and 12 through 19 — survive.

17. Force majeure

Sail Out is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet or infrastructure outages, governmental actions, or failures of third-party providers.

18. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, excluding its conflict-of-law rules. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you and Sail Out each consent to personal jurisdiction and venue there, unless the mandatory consumer-protection law of your place of residence requires otherwise.

19. General

Changes to these Terms. We may update these Terms from time to time. We will post the updated version at sailout.app/terms with a new "Last updated" date and will provide notice in the app or by email of material changes. Continued use of the Service after the effective date of revised Terms constitutes acceptance.

Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets.

Severability & waiver. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Sail Out regarding the Service.
